By accessing and using spredditor.com, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must discontinue using the platform immediately.
1. The Service
Spredditor is an online platform that facilitates introductions and campaign collaborations between Reddit users (Creators) and brands, agencies, or recruiters (Brands). GH Digital Media Private Limited acts strictly as an intermediary and facilitator. Spredditor does not employ Creators, nor does it control the execution of individual campaigns beyond platform facilitation.
2. Independent Status & Third-Party Platform Disclaimer
- No Affiliation: Spredditor is an independent entity and is not affiliated, associated, authorized, endorsed by, or in any way officially connected with Reddit, Inc., or any of its subsidiaries or affiliates.
- User Risk: Users and Brands acknowledge that using automation, participating in sponsored campaigns, or scraping data may interact with Reddit’s Terms of Service and API rules.
- Limitation of Liability for Account Actions: Spredditor holds zero liability if a user’s Reddit account is suspended, shadowbanned, restricted, or permanently deleted by Reddit, Inc. as a result of using this platform or participating in any campaigns. Users engage with campaigns at their own risk.
3. User Eligibility & Verification
- Account Ownership: You must be the rightful, authorized owner of the Reddit account submitted to the platform.
- Bio-Verification: You must complete the platform’s verification process (including bio-verification) to be actively listed in our database.
- Accuracy of Data: Providing false statistics (including but not limited to faking Karma, account age, or post analytics) is strictly prohibited and will result in an immediate and permanent ban from the platform.
4. Payments, Commissions, and Payouts
- Facilitation Fees: Spredditor charges a commission or subscription fee for its matchmaking and campaign tracking services. Specific fee structures, milestone requirements, and platform cuts will be explicitly disclosed during the campaign onboarding or contract agreement phase.
- Payout Timelines: Creator payouts will be processed according to the specific schedule detailed in the campaign agreement (e.g., Net 7 days after successful completion and brand approval of the campaign deliverables).
- Dispute Resolution: In the event of a dispute between a Brand and a Creator regarding work quality or delivery, Spredditor reserves the right to act as an arbitrator and withhold payouts until a resolution is reached. Spredditor is not legally liable for a Brand’s failure to clear campaign payments.
- Taxes: Users are solely responsible for reporting, filing, and paying their own local and national taxes on any income earned through brand collaborations on Spredditor.
5. Intellectual Property & Content Licensing
- Platform Architecture: The Spredditor name, logos, website UI/UX, database structures, and platform architecture are the exclusive intellectual property of GH Digital Media Private Limited.
- Campaign Content Ownership: Unless explicitly stated otherwise in a specific campaign contract, any content created by a Redditor for a paid Brand campaign remains the property of the Creator, but the hiring Brand is granted a perpetual, worldwide, royalty-free license to use, display, and distribute that content.
- Platform Marketing License: By using Spredditor, both Brands and Creators grant Spredditor a non-exclusive right to use anonymized campaign results, public statistics, and case studies for marketing and promotional purposes to attract future users to the platform.
6. Limitation of Liability & Content Safety
- Content Safety: Spredditor is not responsible for the specific content posted by Redditors on third-party platforms. If a user posts “brand-unsafe,” illegal, or prohibited content after being hired, the legal liability rests solely with the user.
- No Guarantee of Work: Listing your profile on Spredditor does not guarantee that you will receive offers or secure a paid collaboration.
- Platform Conduct: We reserve the right to suspend or remove any user or brand account from the platform at any time, without prior notice, for unprofessional behavior, harassment, or violation of Reddit’s sitewide Content Policy.
- “As Is” Service: The platform is provided on an “AS IS” and “AS AVAILABLE” basis. Spredditor makes no warranties regarding platform uptime, bug fixes, or uninterrupted service.
- Cap on Liability: To the maximum extent permitted by applicable law, the total financial liability of GH Digital Media Private Limited for any claim arising out of these terms shall not exceed the total amount paid by you to Spredditor in the three (3) months preceding the event giving rise to the liability.
7. Confidentiality and Non-Disclosure (NDA)
- Strict Confidentiality: Any Reddit user who enters into a campaign or collaboration through Spredditor must maintain strict confidentiality regarding all aspects of the campaign. This includes, but is not limited to, brand names, campaign strategies, communication logs, briefing documents, compensation details, and unreleased product information.
- Prior Approval Required: Users are strictly prohibited from publicly disclosing, discussing, review-bombing, or sharing any details about the campaign, brand, or contract on Reddit, social media, or any other public platform without explicit, prior written approval from Spredditor.
- Breach of Terms: Any unauthorized disclosure, leak, or whistleblowing of confidential information will result in immediate termination from the platform, forfeiture of all pending payments, and potential legal liability for damages caused to Spredditor or the partner brand.
8. Indemnification
You agree to indemnify, defend, and hold harmless GH Digital Media Private Limited, its directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from:
- Your use of and access to the Spredditor platform.
- Your violation of any term within these Terms of Service.
- Your violation of any third-party right, including without limitation any copyright, property, privacy, or API usage right (including Reddit’s sitewide terms).
- Any claim that your content caused damage to a third party or a partner brand.
9. Governing Law & Jurisdiction
These terms are governed by and construed in accordance with the laws of India. Any legal disputes, conflicts, or proceedings arising out of or related to these terms shall be subject to the exclusive jurisdiction of the competent courts located in Bengaluru, Karnataka, India.
